Lütfen bu şart ve koşulları (“Şartlar”) dikkatli bir dikkatli bir şekilde okuyunuz. Yazılı bir şekilde aksi belirtilmediği sürece, Steel Business Briefing Limited (“SBB”) tarafından ücretli ya da ücretsiz sunulan tüm hizmet, ürün ve araçlar için bu Şartlar uygulanacaktır. Bu Şartlar İngiltere ve Galler yasalarına tabi olup, İngilizce olarak kaleme alınmıştır. 1. Parties and Application of Terms
1.1 "You" means any party (i) using any service, product or facility supplied by SBB, including, but not restricted to, using any Website or other Internet based facility, and/or attending any SBB event and/or (ii) paying or agreeing to pay a subscription fee (a "Subscription") or price for any such service, product or facility, and in the case of a business or organisation includes any person within the business or organisation that uses any such service, product or facility in the course of any business or activity of the business or organisation (“User”). These Terms apply to and bind You, including any such User.
1.2 SBB is registered in England and Wales under company number 04199965 and has its registered office at: Palladium House, 1-4 Argyll Street, London, W1E 7LD. Its main trading address and head office is: SBB, Peek House, 20 Eastcheap, London EC3M 1EB. SBB’s VAT number is: GB 697709174.
2. Nature and Content of SBB Publications, Services and other Products.
2.1 The material, information and content included in any SBB service, product or facility, including, but not restricted to, any SBB Website or other Internet based facility or any SBB event, and including anything supplied by any third party, ("the Information") is provided in good faith but, unless otherwise specifically agreed in writing, is not intended to amount to any form of advice or recommendation on which reliance should be placed for any particular business or activity. Information (whether or not classified or shown as “real time” or similar) may no longer be up-to-date by the time it reaches You. SBB does not provide any guarantee or warranty with respect to the Information including, without limitation, its accuracy, completeness, usefulness and fitness for any particular purpose and it is solely your responsibility to evaluate these matters unless otherwise specifically agreed with You in writing.
2.2 SBB services, products or facilities, including, but not restricted to, SBB Websites and other Internet based facilities are designed for use in the UK and in other places where similar laws and conditions apply to access to and the operation and use of such facilities. SBB can make no representation or warranty as to access, operation or use where this is not the case. You must abide by all laws, regulations and codes of conduct applicable to your access to and handling and use of the Information and/or any SBB service, product or facility. This includes, but is not restricted to, ensuring that any Information used or stored by You does not infringe any applicable law or regulation or any third party's rights. Information may be communicated in and translated into any language for your ease of use. Whilst SBB endeavours to ensure that all translations are reasonably accurate, You acknowledge and agree that there may be differences between the translation and the original on which it is based as a result of translation and/or editing.
2.3 You are responsible for making all arrangements necessary in order for You to be able to access and/or receive SBB services, products and facilities, including those delivered via the Internet or other electronic based media. SBB cannot guarantee that the use of such services, products and facilities will be free from risk from viruses or other harmful material or activity. You understand and agree that use of such services, products and facilities is at your own risk and that You are responsible for implementing adequate safety procedures and protection to guard against such risks.
2.4 SBB may from time to time make Rules relating to, impose conditions on or restrict the use of any SBB service, product or facility and use of any such service, product or facility or attendance at any SBB event is conditional upon compliance with any such Rules. If You encounter another User or third party who is violating any of the Terms or Rules in their use of any SBB service, product or facility, this should be reported to SBB.
3. Subscription
To access some of SBB’s services, products and facilities You will need to become a registered subscriber. All Subscriptions are subject to acceptance by SBB. You warrant that all details You provide as part of the registration process and subsequently are accurate and complete and that their provision and content does not contravene any applicable law or third party rights and complies with any rules, regulations or permissions of any business or organisation concerned. You are responsible for updating these details, including e-mail address(es), as necessary. Any free trial which SBB may offer You shall be subject to these Terms. You agree to keep all User names and passwords confidential and not disclose them to any other person.
4. Pricing and Payment
4.1 The Subscription price depends on factors including the services, products and/or facilities to which You subscribe and usage as agreed with SBB’s sales representative or otherwise in writing. Unless otherwise agreed, a Subscription is annual, payable in advance, non-refundable and will not automatically renew. Eligibility for any discount is determined on an individual basis at the time You subscribe and cannot be changed during the term of the Subscription. If SBB gives You a free trial, You will be charged for the Subscription with effect from the expiry of the free trial period. You may cancel a Subscription or free trial at any time by emailing info@sbb.com, but once the Subscription period has begun, You are liable for the fee and not entitled to any refund. Any cancellation will be effective once notice of it is received by SBB.
4.2 Access to and use of the Subscription services, products and facilities may be transferred between Users (within a business or organisation) with SBB’s prior written consent and subject to the transferee’s express agreement to be bound by these Terms and the provision to SBB of all necessary details including, without limitation, any changed e-mail address, password and any details relevant to payment.
4.3 The price for any SBB service, product or facility not covered by a Subscription is as agreed between You and SBB.
4.4 If You make any payment by credit/debit card, cheque or other means and SBB does not receive cleared funds, SBB may immediately cancel or suspend your Subscription without prejudice to its right to receive and/or collect the full amount due.
4.5 SBB will try to process your Subscription or other payment promptly but does not guarantee that the service, product or facility will be available to You by any specified time.
4.6 You will have to pay any applicable local taxes which relate to your Subscription and/or any other SBB service, product or facility made available to You.
5. Your Conduct
5.1 In accessing or using any SBB service, product or facility, You agree not to:
(a) impersonate another person or use a false name or a name You are not authorised to use or create a false identity or e-mail address or do anything that could mislead others as to the identity or origin of any log in or communication;
(b) damage, interfere with or disrupt access to or do anything that may interrupt or impair the functionality of the SBB Websites and/or other Internet based facilities or SBB’s computer systems;
(c) obtain or attempt to obtain unauthorised access, through whatever means, to SBB Websites and/or other Internet based facilities or SBB’s computer systems or areas of SBB’s or any of SBB’s partners' networks; or
(d) set up links from any website controlled by You to any part of any SBB Website without SBB’s express permission.
5.2 You must also obey all relevant national and local laws, regulations and rules that apply to your activities when You use any service, product or facility supplied by SBB. SBB reserves the right to terminate your Subscription and to prevent your use of the service, product or facility if your Subscription is used to engage in illegal activity or if You do not abide by the Terms or any Rules governing the use of any service, facility or product made available by SBB.
6. SBB’s Liability
6.1 SBB does not seek to exclude liability for fraudulent misrepresentation by SBB or its employees or agents or liability for death or personal injury caused by its negligence or that of its employees and agents, nor any other liability which cannot be excluded or limited under applicable law.
6.2 SBB is not responsible for:
(a) losses not caused by SBB’s breach;
(b) loss of profits or loss of opportunity;
(c) other indirect losses which are a side effect of direct loss or damage and which are not reasonably foreseeable by both You and SBB at the time of entering into a contract incorporating these Terms;
(d) loss arising out of any reliance placed by You on the Information;
(e) any inconsistencies or inaccuracies arising out of any translation of the Information;
(f) anything provided by You or on your behalf;
(g) any products or services obtained by You from third parties accessed via any service, product or facility and/or link associated with any such service, product or facility;
(h) any error, omission or inaccuracy appearing in any advertising or sponsorship material provided by third parties; and/or
(i) any failure to provide any service, product or facility, or to meet any other obligations under these Terms, where such failure is due to Events Beyond SBB’s Control. "Events Beyond SBB’s Control" means any cause beyond SBB’s reasonable control that prevents SBB from providing any service, product or facility or fulfilling any of SBB’s other obligations under these Terms and includes, but is not limited to, fire, flood, storm, riot, civil disturbance, war, nuclear accident, terrorist activity, act of God, Internet capacity problem and, regulatory or statutory change or intervention.
6.3 Subject to 6.1 above, the total liability of SBB to You for any loss or damage during a period covered by a Subscription shall be limited to the amount of the Subscription and any other sum payable by You to SBB for SBB services, products and/or facilities provided during that period and if loss or damage arises during a period in which no sum is payable by You then, subject also to 6.1 above, SBB shall have no liability to You.
7. Proprietary Rights
SBB is the owner or licensee of or has acquired permission to use and distribute the Information and claims all intellectual property rights for itself and its third party suppliers in relation to the Information and all SBB services, products and facilities. The Information is protected by international copyright and database rights and other intellectual property rights. All such rights are expressly and exclusively reserved to SBB and/or the third party suppliers to SBB. Unless otherwise agreed with SBB, You may only display the Information electronically on a single computer; download and store not more than one copy of any Information in machine readable form; print (but not photocopy) not more than one copy of any Information; and store such pages for caching purposes only. Any other use of any service, product or facility, or the Information, beyond that agreed with You by SBB or expressly set out in these Terms, is strictly forbidden. You agree that You shall not:
(a) disclose or share any Information with any other individual or entity not a Subscriber;
(b) modify, reproduce, transmit, publish, display, copy, distribute, broadcast, adapt, create derivative works of or in any way commercially exploit any of the Information;
(c) sub-license, rent, lease, transfer or attempt to assign any rights in the Information to any other person, make the materials available on a network, use the information in any manner, or transfer or export the Information or any copies into any country, other than in compliance with these Terms and with applicable laws or allow any other person to use the information other than in accordance with the Terms;
(d) redistribute any of the Information (including using it as part of any library, archive or similar service);
(e) remove any copyright or trade mark notice(s) or similar from any copies of the Information permitted in accordance with these Terms;
(f) systematically or regularly download, store or print any of the Information so as to create a database in electronic or paper form;
(g) deep link to, frame, harvest or scrape any SBB Website or Information or otherwise access any SBB Website or Information without SBB’s express written permission;
(h) spider any SBB Website or Information without SBB’s express written permission unless permitted according to the Website’s robots.txt file, where present;
(i) attempt to interfere with the proper working of any SBB Website, Internet based facility or computer or circumvent the security thereof;
(j) obtain or attempt to obtain unauthorised access, through whatever means, to any SBB Website, other Internet based service or computer system or areas of SBB’s or any of SBB’s partners' networks.
8. Your Liability
Your use of any SBB service, product or facility must be responsible and in accordance with these Terms and any applicable Rules. If it is not, You may be liable to us or to any third party that suffers loss, damage or injury as a result.
9. Privacy
SBB holds and processes the information which You give SBB in accordance with its privacy policy which can be viewed at www.sbb.com/privacy-policy. By accessing and/or using any service, product or facility made available by SBB, You consent to such processing including, without limitation, SBB’s use of cookies.
10. Advertising and Linked Sites
SBB may provide links to sites on the Internet which are operated by independent third parties (“Third Parties”) and may also facilitate advertising and sponsorship by third parties. You acknowledge that SBB has no control over and is not responsible for any Third Party nor any goods or services purchased or obtained from or offered to You through such Third Parties and SBB accepts no responsibility in respect of the same. You acknowledge and agree that if You purchase any goods or services from a Third Party then your contract for such goods or services will be with the Third Party and not with us. SBB does not endorse or accept any responsibility for any Third Party and shall not be liable for any loss or damage caused or alleged to be caused by or in connection with use of or reliance on any information, service, product or facility available from or through any Third Party.
11. Availability of Services, Products or Facilities delivered by Internet
SBB endeavours to provide a fast and reliable service, make its services, products and facilities available and promptly remedy any faults of which it is aware, but SBB does not guarantee that any service, product or facility made available, via the Internet or otherwise, will operate continuously or without interruptions or be error free.
12. Suspension & Termination
12.1 SBB may restrict your access to any service, product or facility, either temporarily or permanently, without any prior notice to You, and without rebate or refund if SBB considers in its sole and reasonable discretion that You or any person authorised by You have abused or are abusing any service, product or facility or have acted or are acting in breach of these Terms.
12.2 SBB may also temporarily restrict your access to any service, product or facility without prior notice if necessary for maintenance, safety or security.
13. Choice of Law
13.1 The validity, construction and performance of these Terms and any contract, claim, dispute or matter arising under or in connection with the Terms or the enforceability of any contract incorporating these Terms and any non-contractual obligations arising out of or in connection with these Terms shall be governed by and interpreted in accordance with the law of England and Wales.
13.2 You and SBB irrevocably agree for SBB’s exclusive benefit that the courts of England and Wales shall have exclusive jurisdiction over any claim, dispute or matter arising under or in connection with these Terms or any contract incorporating these Terms or the enforceability or the legal relationships established under or in connection with such a contract (including non-contractual disputes or claims) and that any proceedings in respect of any such claim, dispute or matter may be brought in such courts, save that SBB shall be entitled (in its discretion) to bring an action against You in any jurisdiction in which You can be found or where any breach or infringement occurs.
14. General
14.1 Other than as permitted under section 4.2, You may not assign, sub-licence or otherwise transfer any of your rights under these Terms. You agree that SBB may subcontract, assign or otherwise transfer any or all of its rights and/or obligations under these Terms and any contract incorporating these Terms.
14.2 SBB may alter these Terms from time to time. SBB indicates at the beginning of these Terms the date on which they were last updated. You are expected to check for and abide by any changes to these Terms as they shall be binding on You.
14.3 If any provision or term of these Terms, or any part of any provision or term, shall become or be declared illegal, void, invalid or unenforceable for any reason whatsoever, such term or provision or part thereof shall be deleted from the Terms and the validity of the remainder will be unaffected and shall remain in full force and effect.
15. Notices
15.1 All notices from SBB shall be sent to You via the email or postal address You provide to SBB during the registration process or as subsequently updated. Notice will be deemed received upon the earlier of acknowledgment or 24 hours after an e-mail is sent or 3 days after the date of posting.
